About VeFix

VeFix is an online marketplace that enables vehicle owners ("Customers") to discover, book, and purchase automotive services, vehicles, and related products offered by independent vendors.

VeFix does not provide automotive services or products itself. Vendors operate as independent businesses and are solely responsible for the services or products they provide.

VeFix acts only as a technology platform and payment facilitator.

Vendor Eligibility

To register and operate as a Vendor on VeFix, you must:

• Be at least 18 years old
• Operate as a legally registered business or compliant sole trader
• Hold all licences, permits, certifications, and insurance required by law
• Maintain public liability insurance where required
• Provide accurate business registration and contact details
• Provide valid payout and tax information

VeFix reserves the right to verify vendor identity, credentials, and business legitimacy at any time.

Vendor Listings

Vendors may create listings for:

• Automotive services
• Automotive products
• Vehicles for sale
• Automotive experiences or events (where applicable)

Vendors must ensure that all listings:

• Are truthful and accurate
• Do not contain misleading claims
• Clearly state pricing and inclusions
• Comply with applicable consumer protection laws

VeFix reserves the right to edit, reject, or remove listings that violate these Terms.

Vendor Responsibilities

Vendors are solely responsible for:

• Delivering services or products as described
• Maintaining professional standards
• Ensuring work is safe and compliant with law
• Communicating with customers regarding bookings
• Managing service appointments and delivery
• Resolving customer complaints and disputes
• Paying all applicable taxes

VeFix does not supervise or control the quality of vendor services.

Vendor Store Terms

Each Vendor must maintain their own store policies, including:

• Refund policy
• Cancellation policy
• Warranty or guarantee terms
• Service terms and conditions

Customers purchase directly from the Vendor, and the Vendor's store terms apply to the transaction.

VeFix is not a party to the contract between Vendor and Customer.

Payments & Fees

VeFix may charge:

• Subscription fees
• Commission on transactions
• Payment processing fees
• Promotional fees

Fees will be displayed on the VeFix pricing page.

Payments are processed via secure payment partners. VeFix will remit payouts to Vendors after deducting applicable fees according to the payout schedule.

Refunds, Disputes & Chargebacks

Vendors are responsible for resolving customer complaints.

If a dispute arises:

• VeFix may assist in mediation
• VeFix may temporarily hold payouts
• VeFix may issue refunds where legally required

Chargebacks or payment disputes may be deducted from vendor balances.

Vendor Independence

Vendors are independent businesses and not employees, agents, or partners of VeFix.

Nothing in these Terms creates a partnership, joint venture, or employment relationship.

Limitation of VeFix Liability

To the fullest extent permitted by law, VeFix shall not be liable for:

• The quality or safety of services performed by Vendors
• Product defects
• Personal injury or property damage
• Customer disputes
• Loss of profits or business interruption
• Vendor negligence or misconduct

Customers engage Vendors at their own risk.

Vendor Indemnity

Vendors agree to indemnify and hold harmless VeFix, its directors, employees, and affiliates from any claims arising from:

• Services provided by the Vendor
• Products sold by the Vendor
• Customer disputes
• Regulatory violations
• Personal injury or property damage
• Misrepresentation in listings

This protection is critical for marketplace liability protection.

Intellectual Property

VeFix retains full ownership of:

• The VeFix platform
• Website architecture
• Branding and trademarks
• Marketplace systems
• Algorithms and design

Vendors retain ownership of their own logos and listing content.

By uploading content, Vendors grant VeFix a non-exclusive licence to use it for marketplace promotion.

Platform Protection & Non-Compete

To protect VeFix's proprietary marketplace model, Vendors agree that they will not:

• Copy, replicate, or reverse engineer the VeFix marketplace
• Build or operate a competing automotive marketplace based on VeFix's structure
• Use VeFix vendor data or customer data to create competing platforms
• Recruit vendors from VeFix for a competing marketplace

This restriction applies during the vendor relationship and for 24 months following termination.

Non-Circumvention

Vendors agree not to bypass the VeFix platform to complete transactions with customers introduced through VeFix.

If a Vendor attempts to complete off-platform transactions to avoid fees, VeFix may:

• Suspend the Vendor account
• Recover lost commission fees
• Permanently ban the Vendor

Confidentiality & NDA

By using VeFix, Vendors acknowledge that they may receive confidential information regarding:

• Platform functionality
• Vendor data
• Customer data
• Business operations
• Technology infrastructure

Vendors agree not to disclose, copy, or use such information outside the operation of their business on VeFix.

This confidentiality obligation continues after termination of the vendor account.

Platform Security

Vendors may not:

• Scrape platform data
• Copy listings
• Extract vendor or customer data
• Attempt to hack or disrupt the platform

Violations may result in legal action.

Account Suspension & Termination

VeFix may suspend or terminate a Vendor account for:

• Fraud or dishonest activity
• Repeated customer complaints
• Safety violations
• Breach of these Terms
• Attempting to circumvent the platform
• Copying the marketplace or operating a competing platform

Data Protection

VeFix processes personal data in accordance with its Privacy Policy and applicable data protection laws including GDPR.

Vendors must also comply with data protection laws when handling customer information.

Changes to Terms

VeFix may modify these Terms at any time. Vendors will be notified of significant changes.

Continued use of the platform constitutes acceptance of updated Terms.

Governing Law

These Terms shall be governed by the laws of England and Wales.

Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Acceptance

By registering as a Vendor on VeFix, you confirm that:

• You have read and understood these Terms
• You agree to comply with them
• You understand VeFix is a marketplace platform and not the provider of products or services
